THIS AGREEMENT, made this day of , 20 , by and between CITY OF HERMISTON, hereinafter called the "OWNER," and PRECISION APPROACH ENGINEERING, INC., 5125 SW Hout Street, Corvallis, Oregon, hereinafter called the "CONSULTANT." Unless otherwise terminated or extended, the term of this Agreement is five (5) years from the date above written. This AGREEMENT supersedes any prior AGREEMENT(s) or AMENDMENT(s), written or oral, between the OWNER and CONSULTANT. This Agreement shall be interpreted, construed, governed, and enforced in accordance with and under the laws of the State of Oregon, without regard to the principles of conflicts of law.
