This Intergovernmental Agreement for Portland Aerial Tram Operations (the “Agreement”) is between the City of Portland, Oregon (“City”), a municipal corporation of the State of Oregon, and Oregon Health and Science University (“OHSU”), a public corporation of the State of Oregon, and is for the purposes of funding operations and defining the roles and responsibilities of the City and OHSU regarding operations of the Portland Aerial Tram. Defined terms used in the Recitals, but not defined in the Recitals are defined in Section 1. This Agreement is and shall become effective contemporaneously with the execution and delivery of the Operator Contract with the Tram Operator.
