This SECOND AMENDED AND RESTATED LIMITED PARTNERSHIP AGREEMENT (this “Agreement”) of KKR Fund Holdings L.P. (the “Partnership”) is made this 1st day of October, 2009, by and among KKR Group Holdings L.P., an exempted limited partnership formed under the laws of the Cayman Islands (“KKR Group Holdings L.P.”), and KKR Fund Holdings GP Limited, an exempted limited company formed under the laws of the Cayman Islands, as general partners, KKR & Co. L.P., a Delaware limited partnership, as the retiring general partner (the “Retiring General Partner”), William J. Janetschek, as withdrawing limited partner (the “Initial Limited Partner”), together with any other Persons who become Limited Partners (as defined herein) in the Partnership or parties hereto as provided herein.
