This External User Agreement (“Agreement”) is entered into and effective as of the (the “Effective Date”) by and between ST. CHARLES HEALTH SYSTEM, INC. a nonprofit corporation organized under the laws of the State of Oregon, on behalf of itself and its wholly owned subsidiaries and affiliates whose principal place of business in 2500 NE Neff Road, Bend Oregon 97701 (“St. Charles”), User (as defined below), and Authorized User’s employer, (“Entity”). St. Charles, Authorized User, and Entity may be referred to in this Agreement as the “Parties.”
