Inc., of Texas (formerly Torch Energy Services, Inc.), a Texas corporation (“NML” and collectively with TRC and TEP, the “Buying Parties”), and Torch Energy Advisors Incorporated, a Delaware company (“TEAI”). TEAI is an Affiliate (as defined in Section 31) of the Buying Parties. Seller, TEAI, TRC, TEP and NML may be collectively referred to herein as the “Parties” and each is sometimes referred to individually herein as a “Party.”
