This Plan of Liquidation and Dissolution (the “Plan”), dated as of June 24, 2014, is entered into by and between American Tax Credit Properties L.P., a Delaware limited partnership (the “Partnership”), and Richman Tax Credit Properties L.P., a Delaware limited partnership (the “General Partner”), and is intended to accomplish the complete liquidation and dissolution of the Partnership.
