FIRST AMENDED AND RESTATED CREDIT AGREEMENT dated as of April 29, 2005 (this “First Amendment and Restatement”) among ASSURANT, INC. (d/b/a Assurant Group), a Delaware corporation (together with its successors and permitted assigns, the “Borrower”), the LENDERS party hereto (including each Person listed under the caption “LENDERS” on the signature pages hereto that is not a “Lender” under the Existing Credit Agreement referred to below (each a “New Lender”), the “Lenders”), JPMORGAN CHASE BANK, N.A.
