THIS AGREEMENT is made as of December 1, 2020, between Northern Lights Variable Trust, an open-end management investment company organized as a Delaware business trust (the "Trust"), and Protective Life and Annuity Insurance Company, a life insurance company organized under the laws of the State of Alabama (the “Company”), on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A, as the parties hereto may amend it from time to time (the "Accounts") (individually, a "Party", and collectively, the "Parties").

Protective Life and Annuity Insurance Company (the “Company”), Northern Lights Variable Trust (the “Trust”), a Delaware statutory trust entered into a certain participation agreement dated July 1, 2017, as amended August 23, 2019 (the “Participation Agreement”). This Amendment (the “Amendment”) to the Participation Agreement is entered into as of March 22, 2022, by and among the Company, on its own behalf and on behalf of each separate account of the Company as set forth in the Participation Agreement, as may be amended from time to time (individually and collectively the “Accounts”), and the Trust, on behalf of each Fund listed on the Amended and Restated Schedule B to the Participation Agreement (the “Portfolios”) (collectively, the “Parties”).
