Maxim Group LLC and BMO Nesbitt Burns Inc. (the “Lead Underwriters”), acting as joint book-runners and representatives of the several underwriters, if any, named in Schedule I hereto (collectively with the Lead Underwriters, the “Underwriters”), understand that, subject to the terms and conditions stated herein, Vox Royalty Corp., a company continued under the Business Corporations Act (Ontario) (the “Company”), proposes to issue and sell to the Underwriters an aggregate of 3,025,000 common shares in the capital of the Company (the “Firm Shares”). The common shares in the share capital of the Company are referred to herein as “Common Shares.”

BMO Nesbitt Burns Inc. and Cantor Fitzgerald Canada Corporation, as joint bookrunners and co-lead underwriters (the “Co-Lead Underwriters”), along with Stifel Nicolaus Canada Inc. and Red Cloud Securities Inc. (together with the Co-Lead Underwriters, the “Underwriters” and each individually an “Underwriter”) hereby severally, and not jointly or jointly and severally, offer to purchase from Vox Royalty Corp. (the “Company”), in the respective percentages set forth in Section 23 hereof, and the Company hereby agrees to issue and sell to the Underwriters, upon and subject to the terms hereof, an aggregate of 5,000,000 units (the “Offered Units”) of the Company, on an “overnight marketed” basis, at a price of $3,00 per Offered Unit (the “Offering Price”) for aggregate gross proceeds of $15,000,000.
