THIS INVESTMENT ADVISORY AGREEMENT (the "Agreement") is made by and between SFS Series Trust (the “Trust”), a Delaware statutory trust registered as an investment company under the Investment Company Act of 1940, as amended (the “1940 Act”), and Hercules Investments, LLC (the “Adviser”), a California limited liability company with its principal place of business in in Los Angeles, California. This Agreement is made effective as to each Fund (defined below) as of the date set forth on the set of schedules to this Agreement identified as “Schedule A” and then numerically designated (e.g., Schedule A-1) attached hereto as of the “Effective Date” noted on each Schedule A with respect to each of the Funds.
