[California Tequila, Inc. ][COMPANY], a [ California ] [STATE] [Corporation ][ENTITY] located at [30012 Aventura Rancho Santa Margarita, CA 92688 ] [ADDRESS] (the "Company"), proposes, subject to the terms and conditions contained in this Posting Agreement (this "Agreement"), to issue and sell shares of its [Stock* ][SECURITIES] in a public offering (the "Offering") on the online website provided by StartEngine Crowdfunding, Inc. (the "Platform") pursuant to Regulation A through StartEngine Primary LLC ( "StartEngine"), acting on a best efforts basis only, in connection with such sales. The Shares are more fully described in the Offering Statement (as hereinafter defined).

ENTAILMENT AND JOINT RESPONSIBILITY AGREEMENT in which the use of the Appellation of Origin Tequila is granted, in compliance with the article 165 bis 24 of the Industrial Property Law and the NOM-006-SCFI-2012 alcoholic beverages TEQUILA-specifications (or the one that replaces it) hereinafter “Tequila Official Norm” to maintain the quality of Tequila, celebrated between TEQUILA SELECTO DE AMATITAN S.A. DE C.V. (hereby known as “THE PRODUCER”), represented in this Agreement by its Legal Representative, Mr. ROBERTO REAL REYNOSO, and California Tequila, Inc., hereby known as “THE DISTRIBUTOR”; represented in this Agreement by its Legal Representative Richard Dominick Gamarra, Agreement in which the parties submit themselves to the following Statements and Clauses:

This Retroactive Addendum (the “ADDENDUM”) to, and forming a part of that certain Entailment and Joint Responsibility Agreement dated effective April 27, 2020, between Roberto Real Reynoso in Representation of Tequila Selecto De Amatitan S.A. De C.V., and Richard Dominick Gamarra in representation of California Tequila, Inc. (The “AGREEMENT”). Where the terms of this ADDENDUM abrogate, modify, augment, or revise the terms of the AGREEMENT, the terms of this ADDENDUM shall prevail, and the underlying provisions of the AGREEMENT shall be deemed abrogated, modified, augmented, or revised accordingly.
