THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is dated as of June 8, 2015, by and between Wowo Limited, a company duly incorporated and validly existing under the laws of the Cayman Islands (the “Company”), and each of the parties set forth in Schedule 1 hereto (the “Rights Holders”).
