Wells Fargo Real Estate Investment Corporation, a corporation organized under the laws of the State of Delaware (the “Company”), which is a direct subsidiary of Wachovia Preferred Funding Corp. and an indirect subsidiary of both Wells Fargo Bank, National Association (the “Bank”) and Wells Fargo & Company (“Wells Fargo”), proposes to (i) sell to the several underwriters named in Schedule I hereto (the “Underwriters”), for which you are acting as representative (the “Representative”), an aggregate of 9,600,000 shares of 6.375% Cumulative Perpetual Preferred Stock, Series A (Liquidation preference amount $25 per share) (the “Preferred Stock”) of the Company (the “Firm Shares”), and (ii) grant to the Underwriters, acting severally and not jointly, an option to purchase up to an additional 1,400,000 shares of Preferred Stock (the “Option Shares”). The Firm Shares and the Option Shares are herein collectively referred to as the “Shares.”
