This Exchange Agent Agreement (this “Agreement”) is entered into as of this day of 2013 by and between GenCorp Inc., an Ohio corporation (the “Company”), and U.S. Bank National Association, a national banking association having a corporate trust office in San Francisco, California (hereinafter referred to from time to time as “U.S. Bank” or the “Exchange Agent”).
