Sasol Financing International Plc, a company duly incorporated and existing under the laws of the Isle of Man (the “Company”), proposes, subject to the terms and conditions stated herein, to issue and sell to the several underwriters named in Schedule I hereto (the “Underwriters”), for whom you are acting as Representatives, U.S.$[·] aggregate principal amount of its [·]% Notes due 20[·] (the “Notes”). The Notes will be entitled to the benefit of a full and unconditional guarantee (the “Guarantee” and, together with the Notes, the “Securities”) by Sasol Limited, a public company with limited liability incorporated under the laws of the Republic of South Africa (the “Guarantor”), pursuant to which the Guarantor will guarantee the obligations of the Company under the Notes.
