This Share Exchange Agreement (this “Agreement”), dated as of May 2nd, 2014, is by and among Remmington Enterprises, Inc., a Nevada corporation (the “Parent”), Mitovie Pharma Europe Ltd, a company incorporated in England and Whales (the “Company”), and each of the shareholders of the Company listed on Schedule 2.1 hereto (the “Shareholders”). Each of the parties to this Agreement is individually referred to herein as a “Party” and collectively as the “Parties.”
