THIS AGREEMENT OF LIMITED LIABILITY COMPANY (“Agreement”) is made effective as of the 19th day of November 2007, by National Seating Company, a Delaware corporation, as the sole member (the “Member”) of CVG CS LLC, a Delaware limited liability company (the “Company”). The Member hereby declares this Agreement (and any amendments hereto) to be the “Operating Agreement” of the Company, as that term is used in the Delaware Act (as defined below).
