REGISTRATION RIGHTS AGREEMENT

This Agreement is entered into pursuant to Section 6(k) of the Purchase Agreement dated September 5, 2023 (the “Purchase Agreement”), by and among the Company, JBS USA Food Company and JBS Luxembourg S.à r.l., as co-issuers (the “Co-Issuers”), JBS S.A. and certain other parent companies of the Company, as guarantors (collectively, the “Guarantors”) and the Representative, as representative of the Initial Purchasers, pursuant to which the Co-Issuers propose to issue and sell (1) $1,600,000,000 aggregate principal amount of their 6.750% Senior Notes due 2034 (the “2034 Notes”), and (2) $900,000,000 aggregate principal amount of their 7.250% Senior Notes due 2053 (the “2053 Notes”, and together with the 2034 Notes, the “Notes”). The Notes are guaranteed by the Guarantors (the “Guarantee”).
