THIS AGREEMENT OF PARTNERSHIP (herein called this “Agreement”) dated February 29, 2008, is made by and among Mewbourne Development Corporation, a Delaware corporation (“MD” and also herein called the “Managing Partner” when acting in its capacity as Managing Partner of the Partnership), Curtis W. Mewbourne, a resident of Tyler, Texas (the “Organizational Partner”), and those persons who execute or adopt this Agreement or counterparts hereof as Investor Partners and become such (herein called the “Investor Partners”). In consideration of the mutual covenants and agreements contained herein, the parties hereto do hereby agree as follows:

THIS DRILLING PROGRAM AGREEMENT (this “Agreement”), dated as of August 1, 2008 is made by and among Mewbourne Oil Company, a Delaware corporation (“MOC”), Mewbourne Development Corporation, a Delaware corporation (“MD”), and Mewbourne Energy Partners 08-A, L.P., a Delaware Limited Partnership (“Partnership”) of which MD is the managing general partner.
