This 2007 Shareholder Return Based Restricted Stock Units Sub Plan (“Sub-Plan”) sets forth rules and regulations adopted by the Committee for issuance of Performance Share Awards under Section ___of the 2007 Stock Option Plan (“2007 Stock Option Plan”). In the event of any conflict between this Sub-Plan and the Plan, the terms and conditions of the 2007 Stock Option Plan shall control.
