Fremont Mortgage Securities Corporation, a Delaware corporation (the “Company”), proposes to sell to the underwriters named in Schedule II hereto (collectively, the “Underwriters” and each, an “Underwriter”) the principal amount of the Fremont Home Loan Trust 2006-C, Mortgage-Backed Certificates, Series 2006-C, identified in Schedule I hereto for each Underwriter (the “Securities”), to be issued under a pooling and servicing agreement, to be dated as of September 1, 2006 (the “Pooling and Servicing Agreement”), among the Company, as depositor, Fremont Investment & Loan, as originator and servicer (the “Servicer”), Wells Fargo Bank, N.A., as master servicer and trust administrator and HSBC Bank USA, National Association, as trustee (the “Trustee”). Capitalized terms used herein and not otherwise defined shall have the respective meanings ascribed thereto in the Pooling and Servicing Agreement.
