Pursuant to this Subsequent Transfer Instrument, dated July 8, 2005 (the “Instrument”), between Park Place Securities, Inc. as seller (the “Depositor”) and Wells Fargo Bank, N.A. as trustee (the “Trustee”) of the Park Place Securities, Inc., Asset-Backed Pass-Through Certificates, Series 2005-WCW1, and pursuant to the Pooling and Servicing Agreement, dated May 1, 2005 (the “Pooling and Servicing Agreement”), among the Depositor as depositor, Countrywide Home Loans Servicing LP as master servicer and the Trustee, the Depositor and the Trustee agree to the sale by the Depositor and the purchase by the Trustee, on behalf of the Trust Fund, of the Mortgage Loans listed on the attached Schedule of Mortgage Loans (the “Subsequent Mortgage Loans”).

The mortgage loans delivered to the Trust Fund on the Closing Date (the “Initial Mortgage Loans”) and the mortgage loans delivered to the Trust Fund on the Subsequent Transfer Date (the “Subsequent Mortgage Loans”, and together with the Initial Mortgage Loans, the “Mortgage Loans”) consist of conventional, one-to four- family, adjustable-rate and fixed-rate mortgage loans. The Depositor purchased the Initial Mortgage Loans from the Seller pursuant to the Mortgage Loan Purchase Agreement, dated as of May 27, 2005, between the Seller and the Depositor, and the Depositor purchased the Subsequent Mortgage Loans from the Seller pursuant to the Subsequent Mortgage Loan Purchase Agreement, dated as of July 8, 2005. Pursuant to the Pooling and Servicing Agreement, dated as of the Cut-off Date, May 1, 2005, (the “Pooling and Servicing Agreement”), among the Depositor, the Master Servicer and the Trustee, the Depositor will cause the Mortgage Loans to be assigned to the Trustee for the benefit o
