This Offshore Stock Purchase Agreement (the "Agreement") is entered into this 30 day of January, 2007 (the "Effective Date"), by and between ZHANG, JIAN PING, a citizen and resident of Vancouver, British Columbia, Canada ("SELLER") and DING, LI NA, a citizen and resident of the People's Republic of China ("PURCHASER"), with respect to shares of common stock of GREATER CHINA MEDIA AND ENTERTAINMENT CORP., a Nevada corporation ("ISSUER").

This AGREEMENT is made and entered into this 14th day of June, 2006, between and among AGA RESOURCES, INC., a Nevada corporation (“AGA”), TRIUMPH RESEARCH LIMITED , a corporation organized and existing under the laws of the British Virgin Islands (“Triumph”), BEIJING TANGDE INTERNATIONAL FILM AND CULTURE CO., LTD., a company organized and existing under the laws of the Peoples’ Republic of China (“Tangde”), and all of the holders of the common shares of Triumph (the “Triumph stockholders”).
