This Registration Rights Agreement is dated as of April 30, 2003, and is by and among Bluewater Finance Limited, a company organized and existing under the laws of the Cayman Islands (the "Issuer"), the guarantors on the attached signature pages hereto and each other entity that becomes a guarantor of the Notes (as defined) subsequent to the date hereof pursuant to the terms of the Indenture (as defined) (collectively, the "Guarantors") and Morgan Stanley & Co. International Limited and ING Bank N.V., London Branch (collectively, the "Initial Purchasers").

For the purposes of this opinion, we have examined the Registration Rights Agreement dated 30 April 2003 (the "Registration Rights Agreement"), the Indenture, dated as of 22 February 2002, the forms of the New Notes and New Guarantees, such certificates and other documents and such questions of law, as we have considered necessary or appropriate. The Indenture and the Registration Rights Agreement are together referred to in this opinion as the "Principal Agreements".
