SECOND SUPPLEMENTAL INDENTURE (this “Supplemental Indenture”), dated as of May 26, 2016, among Circus and Eldorado Joint Venture, LLC, a Nevada limited liability company, CC-Reno, LLC, a Nevada limited liability company (collectively, the “Guaranteeing Subsidiaries”), each a subsidiary of Eldorado Resorts, Inc. (or its permitted successor), a Nevada corporation (the “Company”), the Company and U.S. Bank National Association, as trustee under the Indenture referred to below (the “Trustee”).
