Your Transfer Sample Clauses

Your Transfer. We recognize that at some time, you may want to sell or transfer all or part of your interest in this Agreement, or in the Hotel. At the same time, you understand and acknowledge that the rights and duties set forth in this Agreement are personal to you, and that we are entering into this Agreement in reliance on your business skill, financial capacity, and personal character (if you are an individual), and that of your partners, members or stockholders (if you are a partnership, company, corporation or other legal entity). As a result, you agree that if you desire to sell, transfer or lease your interest in this Agreement, or in the Hotel, or in any entity that has an interest in this Agreement or the Hotel, you will abide by the terms of this Subparagraph 11.b.

Your Transfer. We recognize that at some time, you or other persons associated with you or the Hotel may want to sell or transfer all or part of an interest in this Agreement, in the Licensee, in the Hotel, or in the property on which the Hotel is located (“Hotel Site”). At the same time, you understand and acknowledge that the rights and duties in this Agreement are personal to you, and that we are entering into this Agreement in reliance on your business skill, financial capacity, and personal character (if you are an individual), and that of your officers, directors, partners, members, shareholders or trustees (if you are a partnership, company, corporation, trust or other legal entity). As a result, if you or other persons associated with you or the Hotel desire to sell, transfer or lease this Agreement, or any interest in the Licensee, Hotel, or Hotel Site, or in any entity that has an interest in this Agreement, the Licensee, the Hotel, or the Hotel Site, you must comply with this Subparagraph 11.b.

Your Transfer. You understand and acknowledge that the rights and duties in this Agreement are personal to you and that we are entering into this Agreement in reliance on your business skill, financial capacity, and the personal character of you and your officers, directors, partners, members, shareholders or trustees. A Transfer by you (or by an Equity Owner as of the Effective Date, or by a transferee Equity Owner we later approve) of any Equity Interest, or this Agreement, or any rights or obligations under this Agreement, is prohibited other than as expressly permitted in this Agreement. In any Transfer by you or any Equity Owner under this Subsection 12.2, the proposed Transferee may not be a Sanctioned Person or a Competitor.
