Yahoo's Responsibilities Sample Clauses

In no event is Yahoo under any obligation, express or implied, to post or otherwise include any of the Licensor Content in any Yahoo Property, including without limitation, in any Content Pages.
Yahoo's Responsibilities. (a) Yahoo shall be solely responsible for the design, layout, posting and maintenance of Yahoo's Insurance Information Center and the Co-Branded Application. Yahoo is under no obligation, express or implied, to post or otherwise include links to any InsWeb Content in any Yahoo Property, including without limitation, on Yahoo's Insurance Information Center.
(b) All Co-Branded Pages will include a co-branded banner with the Yahoo Brand Features and the InsWeb Brand Features in a manner similar to the examples set forth in EXHIBITS D. The parties shall mutually agree upon the data elements included in such Co-Branded Pages; provided that such Co-Branded Pages shall in all events reflect the Yahoo design and look and feel. The Co-Branded Application shall include a text link that shall direct users to the Co-Branded Application Response.
(c) Yahoo shall include text links to Yahoo's Insurance Information Center within the Yahoo Properties as described on EXHIBIT C. Yahoo shall also place text links to the Co-Branded Pages within the automotive and real estate listings of Yahoo Classified. Yahoo shall determine the appearance and placement of such links in its sole discretion.
(d) In the event that Yahoo, in its discretion, elects to present a Co-Branded Application and InsWeb does not have shopping functionality available for the particular feature, Yahoo shall link the Co-Branded Application to the Interim Co-Branded Application Response.
(e) Yahoo shall use reasonable commercial efforts to maintain the scale, speed and performance requirements that it currently maintains on the Yahoo Main Site.
(f) Yahoo shall use reasonable commercial efforts to launch the Yahoo Insurance Information Center by no later than sixty (60) days following April 1, 1998.
Yahoo's Responsibilities. 1. Yahoo will be responsible for providing equipment and software necessary to incorporate the Licensor Content into Yahoo properties, provided that the Licensor Content is provided in accordance with the Format of Content Delivery below.
2. Yahoo will host Licensor Content on its servers.
3. Yahoo will present the information specific on pages consistent with Yahoo's user interface.
4. Yahoo will use commercially reasonable efforts to sell the advertising inventory created by this partnership. Yahoo will be responsible for tracking advertising banners served to the Content Pages, advertising production and rotation.
Yahoo's Responsibilities. In addition to any responsibilities that may be set forth in EXHIBIT C, Yahoo will be solely responsible for the design, layout, posting, and maintenance of the Content Pages including, without limitation, all buttons, links and modules; provided that the size and placement of the Licensor Brand Features shall be substantially similar to those in EXHIBIT F. Except as stated in this Agreement or any subsequent agreement, in no event is Yahoo under any obligation, express or implied, to post or otherwise include any of the Licensor Content in any Yahoo Property, including without limitation, in any Content Pages.
Yahoo's Responsibilities. (a) Yahoo will be responsible for the design, layout, posting, and maintenance of the Content Pages. Yahoo shall give its users the option to add the Licensor Content into the appropriate areas of their personalized and customizable web pages in accordance with Yahoo's service currently named "Yahoo Finance." Licensor shall offer such users the opportunity to register for subscription to Licensor's service on a limited free-trial basis through a registration page on the Licensor's Site ("Registration Page") upon such users' Click-throughs from headlines of stories requiring registration on the Licensor Site ("Licensor Premium Content"). The content, context, images, format, layout and "look and feel" of the Registration Page shall be controlled and designed by Licensor, subject to Yahoo's reasonable approval, not to be unreasonably withheld or delayed. Click-throughs from head lines of stories which are not Licensor Premium Content shall go directly on a page on the Licensor Site containing the full text of that story. Yahoo shall have the sole right to sell and retain all revenues with respect to advertising and promotions that appear on the Yahoo Properties.
(b) Yahoo will not alter or impair any acknowledgment of copyright or other Intellectual Property Rights of Licensor that may appear in the Licensor Content and the Licensor Brand Features, including all copyright, trademark and similar notices that Licensor may reasonably request.
Yahoo's Responsibilities. 3 (a) Yahoo shall be solely responsible for the design, layout, posting, and maintenance of the Yahoo Loan Center and the Co-Branded Pages. The E-Loan Content shall appear on the Yahoo Loan Center in a manner similar to the example set forth on Exhibit D. E-Loan shall have the right to approve --------- any material changes to the design and placement of the E-Loan Content, such consent not to be unreasonably withheld. Except for the E-Loan Transaction Content and except for Yahoo's obligations regarding the module in My Yahoo described in Section 3.1(f) below, Yahoo is under no obligation, express or implied, to post or otherwise include any of the E-Loan Content in any Yahoo Property, including without limitation, on the Yahoo Loan Center.
Yahoo's Responsibilities. 1. Provided Licensor is in compliance with the terms of this Agreement, and Licensor Content is substantially in quality to Licensor Content provided as a sample in EXHIBIT F, Yahoo shall, for the Initial Term, post the Daily Tips as provided in this paragraph. Yahoo shall post Teaser Content in the Module for all those users that have selected the Module. Provided that the Teaser Content for an individual Daily Tip does not exceed 200 characters in length, Yahoo will reproduce the text for the Teaser Content for that Daily Tip as such text has been provided to Yahoo. If Licensor has not provided Teaser Content for a particular Daily Tip, Yahoo may elect to use the first paragraph of the Full Tip for that Daily Tip in the Module in lieu of the Teaser Content for that Daily Tip. The Module will contain a "more" link in the Module which links to a Content Page substantially similar that that displayed in EXHIBIT F that displays the Full Tip. The text of the Full Tip will be reproducted as provided to Yahoo. Licensor acknowledge that users may not select and if selected may remove the Module. Licensor further acknowledges, that, notwithstanding the foregoing, Yahoo may take any action it deems necessary or appropriate in its sole discretion if Yahoo reasonably believes
2. Yahoo shall provide attribution to the Licensor in the form of text proximate to any Licensor Content displayed in the Module. (e.g., Lifestyle Finance Tip from Licensor) 3. Yahoo shall display the Licensor Brand Features on Content Pages in a manner substantially similar to the screen art attached to EXHIBIT F.
Yahoo's Responsibilities. (a) Yahoo shall host and be solely responsible for the design, layout and posting of Yahoo Cards; provided that, Yahoo agrees to: (i) consider input from American Greetings concerning the design of Yahoo Cards, and (ii) to work in good faith with American Greetings to design the American Greetings Content Pages in a manner mutually agreeable to both parties, provided, however that the design of the American Greetings Content Pages (and any material modifications thereto) shall be subject to the approval of American Greetings prior to deployment which approval shall not be unreasonably withheld or delayed. Notwithstanding anything to the contrary in this Section 3.1(a), American Greetings understands and agrees that Yahoo shall have the final determination over the design, layout and posting of Yahoo Cards.
(b) During the Term, Yahoo shall include American Greetings Cards in Yahoo Cards as follows:
(i) No fewer than [ ] of the Greetings [ ] displayed on [ ] shall be American Greetings Cards.
(ii) No fewer than [ ] of the Greetings [ ] displayed on [ ] shall be American Greetings Cards for any category in which American Greetings supplies Yahoo with American Greetings Cards. By way of example, and not in limitation of the foregoing, if upon a User's request for birthday cards, Yahoo Cards displays [ ] with [ ] birthday cards on each Page, no fewer than [ ] American Greetings Cards shall appear on each such [ ]. In the event that the [ ] does not display any American Greetings Cards, Yahoo's obligations pursuant to this Section 3.1(b)(ii) shall [ ] for any category in which American Greetings supplies Yahoo with American Greetings Cards.
(iii) American Greetings Cards provided to Yahoo, other than those appearing on [ ] and [ ] (or [ ] as the case may be), will be distributed throughout the remaining applicable [ ] (based upon the number of American Greetings Cards relative to the number of other Greetings to be displayed on such Pages) until all American Greetings cards have been displayed for that category; provided, however, that Yahoo may modify such distribution if, in its good faith judgment, the quality or selection of such Greetings warrants such re-distribution in order to address the needs of Yahoo Cards customers. In connection with any such re-distribution, Yahoo agrees to use commercially reasonable efforts to communicate any such decision and the reasons therefore to American Greetings as soon as reasonably practicable.
