Xxxxxxx Liability to Xxxxxxx Employees. Except as otherwise specifically provided in this Section 3.05, this Agreement shall not affect any Employee Benefit Plan or other compensation arrangement of Xxxxxxx in respect of any employees of Xxxxxxx or the Xxxxxxx Subsidiaries who are not Midas Separated Employees. Except as otherwise specifically provided, (1) this Agreement shall not affect any Midas or Midas Subsidiary Employee Benefit Plans or other compensation arrangements which Midas or the Midas Subsidiaries have maintained on or before the Distribution Date and (2) Xxxxxxx shall have no Liabilities with respect to such Employee Benefit Plans or arrangements at any time.
