So long as Employee is employed by Employer or Subsidiary, Employee shall observe and fulfill proper standards of fiduciary responsibility attendant upon his service and office.
If Employee is a director of a Singapore Subsidiary, Employee must notify the Singapore Subsidiary in writing within two business days of Employee receiving or disposing of an interest (e.g., Performance Stock Units, shares of Stock, etc.) in the Company or any Subsidiary or within two business days of Employee becoming a director if such an interest exists at the time.

Upon the termination of Employee’s employment with the Subsidiary, Employee agrees to deliver forthwith to the Subsidiary any and all literature, documents, correspondence, and other materials and records furnished to or acquired by Employee during the course of such employment.
