Subject to the terms and conditions of this Agreement, the maximum Gross Settlement Amount, excluding payroll taxesincluding Employer Payroll Taxes, that Defendant are is obligated to pay under this Settlement Agreement is Three One Million One Hundred Fifty Fifteen Thousand Dollars and Zero Cents ($3,150,0001,115,000). Under no circumstance will Defendant be obligated to pay any more than the Gross Settlement Amount.
