WSDA Clause Samples

The WSDA clause, which stands for "Warranty, Support, and Delivery Agreement," defines the obligations of a party regarding the quality assurance, ongoing support, and timely delivery of goods or services under a contract. Typically, this clause outlines the standards that products or services must meet, the duration and scope of support provided after delivery, and the timelines or conditions for delivery. By clearly specifying these responsibilities, the WSDA clause helps ensure that the receiving party obtains reliable products or services, receives necessary assistance post-delivery, and can hold the provider accountable for delays or deficiencies, thereby reducing the risk of disputes and unmet expectations.
WSDA. Upon expiration of the Agreement, any claim for payment not already made shall be submitted within 30 days after the expiration date or the end of the fiscal year, whichever is earlier. In no case can this be more than 10 days past the end of the biennium.
WSDA. The Washington State Department of Agriculture or its successor agency, if any.
WSDA. FA will make payments on a reimbursement basis only. WSDA FA will reimburse eligible project expenditures up to the amount listed on the Face Sheet.
WSDA. FA may require changes to such policies and procedures as they apply to this Contract whenever WSDA FA reasonably determines that changes are necessary to prevent unauthorized disclosures.
WSDA or the State Auditor and any of their representatives shall have full access to and the right to examine all of the Grantee's records with respect to all matters covered in this Agreement. Such representatives shall be permitted to audit, examine, and make excerpts or transcripts from such records and to make audits of all contracts, invoices, materials, payrolls, and records of matters covered by this Agreement. Such rights last for six (6) years from the date final payment is made.
WSDA has different requirements for their licensees, and not all WSDA-licensed kitchens will work for every vendor. You may use a WSDA-licensed kitchen without additional approvals if you are the license holder and all food is made within the scope of your current license. If you are not the license holder, you must provide approval from your local health department.
WSDA. FA will be considered the author of such Materials. In the event the Materials are not considered “works for hire” under the U.S. Copyright laws, the Grantee hereby irrevocably assigns all right, title, and interest in all Materials, including all intellectual property rights, moral rights, and rights of publicity to WSDA FA effective from the moment of creation of such Materials.

This project also built on the lessons learned around the technical issues encountered during the last mission related to the shipment of fresh product, particularly into Vietnam. Based upon the work from the previous mission, we learned that the participation of high-level officials continues to have a significant impact in the promotion and sales of specialty crops in Asian markets. As proposed in the project, the SE Asia Trade Mission was successfully completed. From October 25, 2014 thru November 6, 2014 the directors for the Oregon Department of Agriculture and the Washington State Department of Agriculture led a trade mission of 19 people to the Philippines and Vietnam. The trade contingent represented potato growers and packers from Washington and Oregon, onions, blueberries, the Port of Portland and an executive chef. The mission included country briefings US Embassy teams in Manila, Philippines and Hanoi, Vietnam, a market briefing by FAS team from Ho Chi Minh City, Vietnam, market visits, a port tour, logistics presentations, a tour of a cold storage facility and meetings with importers and distributors to provide the trade contingent with a better understanding of the markets. The two directors enhanced the impact of the industry activities, by giving opening remarks and presenting awards at technical seminars, trade receipts and retail display contests throughout the mission. We leveraged our presence in the market to do a Northwest American-themed buffet lunch and dinner at the hotel where the Oregon and Washington Potato Commissions were holding their potato seminar and cooking demonstration along with the trade reception. Based upon the work from the previous mission, we learned that the participation of high-level officials continues to have a significant impact in the promotion and sales of specialty crops in Asian markets. As a result, in Vietnam the delegation joined by US Foreign Agriculture Service representatives met with Vietnamese government officials. These meetings were valuable to build awareness of the quality specialty products that Oregon is currently available in the market as well as those specialty crop products, such as fresh blueberries that are in the process of having a formal market access request from APHIS. WSDA. FA will pay the Grantee upon acceptance of services provided and receipt of properly completed invoice vouchers. a. Submit invoices electronically to the assigned Food Assistance Representative by the 20th of each month for services provided in the previous month. b. The invoices shall include the Agreement (Grant) number and indicate the costs incurred in each budget category as directed by WSDA FA and indicated on WSDA FA invoice template. c. The Grantee shall include a detailed (expanded) general ledger of the program’s expenses with every invoice/expenditure report and include all backup. Upon WSDA FA’s request, Grantee shall submit provide additional information if request. i. The Grantee shall collect, submit, and keep on file backup documentation for any Subgrantee reimbursements. d. Payment is timely if made by WSDA FA within thirty (30) calendar days after receipt of properly completed invoices. e. Payment shall be transferred electronically to the Grantee’s designated bank account unless the Grantee requests payment by warrant (check). If payments are made by warrant, the payee will be the Grantee that is party to the Agreement and the payment will be mailed to the address on file associated with their Statewide Vendor number. f. Maintain financial expenditure tracking by funding source, as applicable. g. Invoice payments will be made only to those that are party to the Agreement. Name and Address must correspond to information in Statewide Vendor file with Washington State Office of Financial Management (OFM).
WSDA and Ecology will participate as resources allow with other stakeholders on livestock issues, discussion of technical standards and implementation of livestock related water quality activities.
