Common use of Written Consent to Action Clause in Contracts

Written Consent to Action. Notwithstanding the provisions of Sections 11(a) and 11(b), on any matter that is to be voted on by the Members, the Members may take such action without a meeting, without prior notice and without a vote if a consent or consents in writing, setting forth the action so taken, shall be signed by all of the Members. An original or copy of any such consent shall be inserted in the record of the proceedings of the Members.

Written Consent to Action. Notwithstanding the provisions of Sections 11(a) 5.5.2.1, 5.5.2.2 and 11(b)5.5.2.3, on any matter that is to be voted on by the Members, the Members may take such action without a meeting, without prior notice and without a vote if a consent or consents in writing, setting forth the action so taken, shall be signed by all the Members that could have taken the action at a meeting of the Members. An original or copy of any such consent shall be inserted in the record of the proceedings of the Members.

An original or copy of any such consent shall be inserted in the record of the proceedings of the Members.
