Worldline Sample Clauses

Worldline and the Facility Providers shall not be liable in contract, tort or otherwise for any indirect or consequential loss or damage sustained by the Merchant by any indirect use of or reliance on the electronic communication, orders or messages whether with or without the utilization of any security measures, including but not limited to any loss or damage resulting as a consequence of any defects, delays, interruptions, errors, inaccuracies or failures in the various communications and Worldline and the Facility Providers specifically excluded the same to the fullest extent permitted by law even if Worldline and the Facility Providers shall have been advised in advance of the possibility of such damages.
Worldline. NZ has the right to change or add to the terms of this Agreement at any time, and to change, delete, discontinue, or impose conditions on any feature or aspect of the Services with notice that Worldline NZ in its sole discretion deems to be reasonable in the circumstances, including such notice on Worldline NZ's website, the Merchant Portal or any other website maintained or owned by Worldline NZ for the purposes of providing services in terms of this Agreement. Any use of the Services after Worldline NZ's publication of any such changes will constitute your acceptance of this Agreement as modified. Worldline NZ enables you to use Online EFTPOS, by doing the following: (a) providing you either sufficient instructions or a digital application that allows for a Payment Request and/or a Refund Request (for Refund-Approved Merchants only) to be initiated; (b) allowing you to access, integrate or procure or ensure the integration with the Online EFTPOS API so that Worldline NZ can: (i) send Payment Requests and Refund Requests to Customer Banks for authorisation and/or processing; and (ii) receive messages containing the authorisation response from Customer Banks; (c) ensuring that each Payment Request or Refund Request sent to a Customer Bank gives the Customer Bank the information it needs to: (i) authorise or decline a Payment Request; and (ii) process a Refund Request; and (d) providing Settlement Instructions to the Settlement Agent.
Worldline. NZ will supply you with user names and passwords to enable you to access the Merchant Portal. You must keep all user names and passwords secure and made known only to authorised users and will be responsible for all use of the Merchant Portal, both during and after the Term, through use of your user names and passwords.
Worldline shall indemnify the Merchant against every third party demand that is found justified by either Worldline or a competent court, in which the third party claims that the use of a certain product or software infringes upon the intellectual ownership rights of this third party. Worldline shall bear the cost of this indemnification, and shall have the option to:
Worldline. Device Nordics shall at all times have the right at its request (upon reasonable notice where possible) to: a) receive all information (and confirmations) with respect to the Merchant´s and any relevant third party service provider´s compliance with sections 3.2,
Worldline shall act as a professional supplier, and shall use reasonable efforts to execute its con- tractual obligations in a correct manner and in com- pliance with the contents of the Contract.
