Common use of Workers’ Compensation Liabilities Clause in Contracts

Workers’ Compensation Liabilities. All workers’ compensation Liabilities relating to, arising out of, or resulting from any claim by a Demand Media Employee or Former Demand Media Employee that results from an accident occurring, or from an occupational disease which becomes manifest (collectively, “Workers’ Comp Liabilities”) before, on or after the Distribution Date, shall be retained by and be obligations of Demand Media or its insurers. All Workers’ Comp Liabilities relating to, arising out of, or resulting from any claim by a Rightside Employee or Former Rightside Employee that arises or manifests prior to the date on which such Rightside Employee or Former Rightside Employee was covered by an applicable workers’ compensation insurance program maintained by a Rightside Entity shall be obligations of Demand Media and its insurers. All Workers’ Comp Liabilities relating to, arising out of, or resulting from any claim by a Rightside Employee or Former Rightside Employee that arises or manifests on or after the date on which such Rightside Employee or Former Rightside Employee was covered under a workers’ compensation insurance program maintained by a Rightside Entity shall be obligations of Rightside and its insurers. For purposes of this Agreement, a compensable injury giving rise to a Workers’ Comp Liability shall be deemed to be sustained upon the occurrence of the event giving rise to eligibility for workers’ compensation benefits or at the time that an occupational disease becomes manifest, as the case may be. Each Demand Media Entity and each Rightside Entity shall cooperate with respect to any notification to appropriate Governmental Authorities of the effective time and the issuance of new, or the transfer of existing, workers’ compensation insurance policies and claims handling contracts.

All Except as provided below, all workers’ compensation Liabilities relating to, arising out of, or resulting from any claim by a Demand Media Employee iGATE Transferees or Former Demand Media Employee Mastech Employees that results result from an accident occurring, or from an occupational disease which is incurred or becomes manifest (collectivelymanifest, “Workers’ Comp Liabilities”) beforeas the case may be, on or after before the Distribution Date, Effective Time and while such individual was employed by iGATE or an iGATE Entity shall be retained by iGATE, provided that Mastech shall reimburse iGATE or the applicable iGATE Entity for any deductibles or co-payments paid in respect of such Liabilities, to the extent attributable to such Liabilities. Mastech and each Mastech Entity shall be obligations of Demand Media or its insurers. All Workerssolely responsible for all workers’ Comp compensation Liabilities relating to, arising out of, or resulting from any claim incurred for a compensable injury sustained by a Rightside Mastech Employee or Former Rightside Employee iGATE Transferee that arises results from an accident or manifests prior to from an occupational disease which is incurred or becomes manifest, as the date on which such Rightside Employee or Former Rightside Employee was covered by an applicable workers’ compensation insurance program maintained by a Rightside Entity shall be obligations of Demand Media and its insurers. WABCO and each WABCO Group member shall be obligations of Demand Media or its insurers. Workers’ Compensation Liabilities. All workers’ compensation Liabilities relating to, arising out of, or resulting from any claim by an IAC Employee, Former IAC Employee, Match Employee and Former Match Employee that results from an accident occurring, or from an occupational disease which becomes manifest, on or before the Effective Time shall be retained by IAC; provided, however, that Match promptly shall reimburse IAC for any such Liabilities relating to Match Employees or Former Match Employees borne by IAC following the Effective Time. All workers’ compensation Liabilities relating to, arising out of, or resulting from any claim by an IAC Employee or Former IAC Employee that results from an accident occurring, or from an occupational disease which becomes manifest, on or after the Effective Time shall be retained by IAC. All workers’ compensation Liabilities relating to, arising out of, or resulting from any claim by a Demand Media Match Employee or Former Demand Media Match Employee that results from an accident occurring, or from an occupational disease which becomes manifest (collectively, “Workers’ Comp Liabilities”) beforemanifest, on or after the Distribution Date, Effective Time shall be retained by and be obligations of Demand Media or its insurers. All Workers’ Comp Liabilities relating to, arising out of, or resulting from any claim by a Rightside Employee or Former Rightside Employee that arises or manifests prior to the date on which such Rightside Employee or Former Rightside Employee was covered by an applicable workers’ compensation insurance program maintained by a Rightside Entity shall be obligations of Demand Media and its insurers. All Workers’ Comp Liabilities relating to, arising out of, or resulting from any claim by a Rightside Employee or Former Rightside Employee that arises or manifests on or after the date on which such Rightside Employee or Former Rightside Employee was covered under a workers’ compensation insurance program maintained by a Rightside Entity shall be obligations of Rightside and its insurersMatch. For purposes of this Agreement, a compensable injury giving rise to a Workers’ Comp Liability shall be deemed to be sustained upon the occurrence of the event giving rise to eligibility for workers’ compensation benefits or at the time that an occupational disease becomes manifest, as the case may be. Each Demand Media Entity IAC, Match and each Rightside Entity the other Match Entities shall cooperate with respect to any notification to appropriate Governmental Authorities governmental agencies of the effective time and the issuance of new, or the transfer of existing, workers’ compensation insurance policies and claims handling contracts.

Workers’ Compensation Liabilities. All workers’ compensation Liabilities relating to, arising out of, or resulting from any claim by an IAC Employee, Former IAC Employee, SpinCo Employee and Former SpinCo Employee that results from an accident occurring, or from an occupational disease which becomes manifest, on or before the Mandatory Exchange Effective Time shall be retained by IAC; provided, however, that SpinCo promptly shall reimburse IAC for any such Liabilities relating to SpinCo Employees or Former SpinCo Employees borne by IAC following the date on which the Mandatory Exchange Effective Time occurs. All workers’ compensation Liabilities relating to, arising out of, or resulting from any claim by an IAC Employee or Former IAC Employee shall be retained by IAC. All workers’ compensation Liabilities relating to, arising out of, or resulting from any claim by a Demand Media SpinCo Employee or Former Demand Media SpinCo Employee that results from an accident occurring, or from an occupational disease which becomes manifest (collectively, “Workers’ Comp Liabilities”) beforemanifest, on or after the Distribution Date, Mandatory Exchange Effective Time shall be retained by and be obligations of Demand Media or its insurers. All Workers’ Comp Liabilities relating to, arising out of, or resulting from any claim by a Rightside Employee or Former Rightside Employee that arises or manifests prior to the date on which such Rightside Employee or Former Rightside Employee was covered by an applicable workers’ compensation insurance program maintained by a Rightside Entity shall be obligations of Demand Media and its insurers. All Workers’ Comp Liabilities relating to, arising out of, or resulting from any claim by a Rightside Employee or Former Rightside Employee that arises or manifests on or after the date on which such Rightside Employee or Former Rightside Employee was covered under a workers’ compensation insurance program maintained by a Rightside Entity shall be obligations of Rightside and its insurersSpinCo. For purposes of this Agreement, a compensable injury giving rise to a Workers’ Comp Liability shall be deemed to be sustained upon the occurrence of the event giving rise to eligibility for workers’ compensation benefits or at the time that an occupational disease becomes manifest, as the case may be.
