Without Cause; Resignation for Good Reason; Non-Renewal Election by Company. If your employment is terminated by the Company without Cause or due to a Non-Renewal election made by the Company as provided in Section 3(e)(ii) or by you for Good Reason (taking into account in each such case the definition of Change in Control), then, in lieu of any other severance pay or benefits, and conditioned on the effectiveness of a Release signed by you, the Company will pay or provide to you:

If your employment is terminated by the Company without Cause or due to a Non-Renewal election made by the Company as provided in Section 3(e)(ii) or by you for Good Reason (taking into account in each such case the definition of Change in Control)) or if you terminate your employment as permitted in Section 5(e) below, then, in lieu of any other severance pay or benefits, and conditioned on the effectiveness of a Release signed by you, the Company will pay or provide to you:
