Common use of With Consent Clause in Contracts

With Consent. Except as provided in Section 8.05(c), with respect to any Pass-Through Pool formed pursuant to the terms hereof, any provision of this Agreement may be amended by ▇▇▇▇▇▇▇ Mac and the Trustee with the written consent of the Holders of Pass-Through Certificates representing not less than 50 percent of the then outstanding principal amount or notional principal amount of each Class of Pass-Through Certificates affected by such amendment.
