When Restrictions Apply Sample Clauses

The "When Restrictions Apply" clause defines the specific circumstances or conditions under which certain limitations or prohibitions become effective within an agreement. Typically, this clause outlines scenarios such as regulatory changes, breach of contract, or other triggering events that activate restrictions on activities like use, access, or disclosure of information. Its core practical function is to provide clarity and predictability by specifying when and how restrictions are enforced, thereby helping parties understand their obligations and avoid inadvertent violations.
When Restrictions Apply. Except as provided elsewhere in this Indenture (including Section 2.10(a)(iii)), until the Free Trade Date of a Note, every certificate evidencing such Note (and every security issued in exchange therefor or substitution thereof, except any shares of Common Stock issued upon the conversion thereof, which may be required to bear the Restricted Stock Legend) will bear the Restricted Notes Legend unless: (1) such Note is being Transferred to a person (other than (x) the Company or (y) an affiliate (as defined in Rule 144) of the Company) pursuant to a registration statement that was effective under the Securities Act at the time of such Transfer; or (2) such Note is being Transferred to a person (other than (x) the Company or (y) an affiliate (as defined in Rule 144) of the Company) pursuant to an available exemption from the registration requirements of the Securities Act (including Rule 144) and, after such Transfer, such Note will no longer constitute “a restricted security” (within the meaning of Rule 144), and, in case (B), the Holder effecting such Transfer delivers to the Trustee, the Company and the Registrar any documents or evidence required pursuant to the Restricted Notes Legend or this Indenture (including, in the case of Definitive Notes, Section 2.10(a)(iii)).
When Restrictions Apply. Except as provided elsewhere in this Indenture (including clause (iii) of this Section 2.10(b)), until the relevant Free Trade Date, every certificate evidencing any shares of Common Stock issued upon conversion of any Restricted Notes or otherwise in respect of any Restricted Notes will bear the Restricted Stock Legend unless: (A) such shares are being Transferred to a Person (other than (x) the Company or (y) an “affiliate” (as defined in Rule 144) of the Company) pursuant to a registration statement that was effective under the Securities Act at the time of such Transfer; or (B) such shares are being Transferred to a Person (other than (x) the Company or (y) an “affiliate” (as defined in Rule 144) of the Company) pursuant to an available exemption from the registration requirements of the Securities Act (including Rule 144) and, after such Transfer, such shares will no longer constitute “restricted securities” (within the meaning of Rule 144), and, in case (B), the Person effecting such Transfer delivers to the Company and the Transfer Agent reasonable and customary documentation or evidence reasonably required pursuant to this Indenture (including clause (iii) of this Section 2.10(b)), provided that any legal opinion, if any, in such regard shall be obtained by, and at the expense of, the Company, on the basis of such documentation or evidence.
When Restrictions Apply. Except as provided elsewhere in this Indenture (including, without limitation, clause (iii) of this Section 2.10(a)), until the Free Trade Date, every certificate evidencing a Note (and every security issued in exchange therefor or substitution thereof, except any shares of Common Stock issued upon the conversion thereof, which may be required to bear the Restricted Stock Legend) will bear the Restricted Notes Legend unless: (A) such Note, is being Transferred to a Person other than (x) the Company or (y) an affiliate (as defined in Rule 144) of the Company pursuant to a registration statement that was effective under the Securities Act at the time of such Transfer; or (B) such Note, is being Transferred to a Person other than (x) the Company or (y) an affiliate (as defined in Rule 144) of the Company, pursuant to an available exemption from the registration requirements of the Securities Act (including, without limitation, Rule 144) and, after such Transfer, such Note will no longer constitute "a restricted security" (within the meaning of Rule 144), and, in case (B), the transferring Holder delivers to the Trustee, the Company and the Registrar any documents or evidence required pursuant to the Restricted Notes Legend or this Indenture (including, in the case of Definitive Notes, clause (iii) of this Section 2.10(a)).
When Restrictions Apply. Except as provided elsewhere in this Indenture (including clause (3) of this Section 2.12(a)), until the Free Trade Date of a Note, every certificate evidencing such Note (and every security issued in exchange therefor or substitution thereof, except any shares of Common Stock issued upon the conversion thereof, which may be required to bear the Restricted Stock Legend) will bear the Restricted Notes Legend unless: (i) such Note is being Transferred to a Person (other than (x) the Company or (y) an “affiliate” (as defined in Rule 144) of the Company) pursuant to a registration statement that was effective under the Securities Act at the time of such Transfer; or (ii) such Note is being Transferred to a Person (other than (x) the Company or (y) an “affiliate” (as defined in Rule 144) of the Company) pursuant to an available exemption from the registration requirements of the Securities Act (including Rule 144) and, after such Transfer, such Note will no longer constitute “a restricted security” (within the meaning of Rule 144); and, in the case of Section 2.12(a)(2)(ii), the Holder effecting such Transfer delivers to the Trustee, the Company and the Registrar any documents or evidence reasonably required pursuant to this Indenture (including clause (3) of this Section 2.12(a)). In connection with the foregoing, the Company shall deliver any Company Order or legal opinion reasonably requested by the Trustee and/or the Registrar to the Trustee and/or the Registrar to effectuate the removal of any Restrictive Notes Legend. For the avoidance of doubt, the Initial Notes are not Restricted Notes and shall not be required to bear the Restricted Notes Legend when issued on the Issue Date or at any time thereafter unless such Initial Note is subsequently held by the Company or an “affiliate” (as defined in Rule 144) of the Company and subject to re-legending in accordance with Section 2.12(c). As of the Issue Date, the Initial Notes shall be Freely Tradable subject to compliance with Section 2.06, shall be issued without a Restricted Notes Legend, shall not subject to the restrictions set forth in this Section 2.12, and shall be assigned an unrestricted CUSIP number.
