West St. ▇▇▇▇ shall establish standards and qualifications for its personnel. The Recycling Coordinator shall be deemed an employee of West St. ▇▇▇▇ and shall be subject to the personnel and other policies of West St. ▇▇▇▇.
West St. ▇▇▇▇: The City of West St. ▇▇▇▇, a Minnesota municipal corporation.
West St. ▇▇▇▇ shall contribute $555,333.00 through general obligation bonds issued on or before July 1, 2015.
West St. ▇▇▇▇ will: a. Provide available information to the Consultant, as requested, in support of the Project. b. Participate in meetings and discussions with the Consultant and Partners toward the successful completion of the Project.
West St. ▇▇▇▇ shall collect the building permit fees and electrical permit fees and distribute and allocate those fees to West St. ▇▇▇▇ and Sunfish Lake, pursuant to Section 7, hereof; provided, however, and notwithstanding anything to the contrary contained in Section 7 of the Agreement, the electrical permit fees and electrical inspection fees shall be retained by West St. ▇▇▇▇, and shall not be distributed and allocated to Sunfish Lake; such fees may be used by West St. ▇▇▇▇ to pay an independent contractor inspector to perform the electrical inspections; pursuant to Section 13(j) of the Agreement. Sunfish Lake consents and grants its written approval to West St. ▇▇▇▇ to contract with an independent contractor to perform the electrical inspections required. .
West St. ▇▇▇▇ shall not enter into any subcontract for performance of any services contemplated under this Agreement without the prior written approval of Sunfish Lake.
West St. ▇▇▇▇ agrees to defend, indemnify, and hold harmless Sunfish Lake, and its officials, agents, and employees, from and against all claims, actions, damages, losses, and expenses arising out of or resulting from West St. ▇▇▇▇’s performance of the services required under this Agreement, provided that any such claim, action, damage, loss, or expense is attributable to bodily injury, sickness, disease, or death or to the injury to or destruction of property including the loss of use resulting therefrom and is caused in whole or in part by any negligent act or omission or willful misconduct of West St. ▇▇▇▇. This provision shall not be construed as a waiver by either party of any defenses, immunities, or limits on liability with respect to claims made by third parties.
