A "Weakness" clause defines the allocation of risk or responsibility in situations where a party's position, claim, or right is found to be legally or factually deficient. In practice, this clause may specify that if a party's argument or documentation is deemed insufficient or invalid, that party bears the consequences, such as loss of rights or obligations to remedy the deficiency. The core function of this clause is to clarify the outcome when a party's position is weak, thereby encouraging thoroughness and reducing disputes over unclear or unsupported claims.
