WARRANTIES OF PUBLISHER. Publisher warrants that Publisher possesses full power and authority to make this Agreement. Publisher agrees to defend and indemnify Author for and against all claims arising from the breach or alleged breach of any warranty given herein, as well as for and against all claims by third parties of trademark and copyright infringement relating to Publisher's trademark or the packaging, marketing and sales material for the Works, provided that Author gives Publisher prompt written notice of any such claim. The provisions of this Section 9.02 shall survive any termination of this Agreement.
