Warrant that Clause Samples
A "Warrant that" clause requires one party to formally guarantee the truth or accuracy of certain facts or conditions within a contract. In practice, this means the warranting party assures the other that specific statements—such as ownership of assets, compliance with laws, or the absence of legal disputes—are correct at the time of agreement. This clause serves to allocate risk by holding the warranting party responsible if the warranted facts turn out to be false, thereby protecting the other party from potential losses or liabilities arising from misrepresentations.
