Common use of WARN Clause in Contracts

WARN. Buyer shall be responsible for all liabilities or obligations under the Worker Adjustment and Retraining Notification Act and similar state and local rules, statutes and ordinances resulting from the Closing or from Buyer’s, the Company’s or a Subsidiary’s actions following the Closing.

Buyer shall be responsible for all liabilities or obligations Liabilities under the Worker Adjustment and Retraining Notification Act and similar state and local rules, statutes and ordinances (the "Plant Closing Liabilities") relating to the Company Employees and which are resulting from the Closing or from Buyer’s, 's or the Company’s or a Subsidiary’s Subsidiaries' actions following the Closing, with Seller to be responsible for any other Plant Closing Liabilities that arise up to the Closing Date with respect to the employees of any Subsidiary.
