Common use of Warehousing Fee Clause in Contracts

Warehousing Fee. In connection with the Company’s or the Partnership’s purchase of properties or other assets from the Manager or one of its Affiliates, the Company or the Partnership shall pay a warehousing fee equal to a 1.50% spread above the Manager’s or its Affiliates’ cost of capital (per annum) with respect to the period of time the asset is warehoused, plus any transaction costs in connection with the acquisition; provided, however, that no such fee will be charged in connection with the acquisition of the Seed Assets.

Warehousing Fee. In connection with the Company’s or the Partnership’s purchase of properties or other assets from the Manager or one of its Affiliates, the Company or the Partnership shall pay a warehousing fee equal to a 1.50an annualized rate of 2.00% spread above of the Manager’s or its Affiliates’ cost purchase price of capital (per annum) with respect to each asset for the period of time the such asset is warehoused, plus any transaction costs incurred by the Manager or its Affiliate in connection with the acquisition; provided, however, that no such fee will be charged in connection with the acquisition of the Seed Assets.
