Common use of Waiver of Set Off Clause in Contracts

Waiver of Set Off. Notwithstanding any provision of this Agreement or any other existing or future agreement between the Counterparty and the Trust, each of the Counterparty and the Trust irrevocably waives as to itself any and all rights to counterclaim, set-off, recoupment, whether arising by contract, operation of law or otherwise, provided that nothing herein shall be construed as limiting the provisions contained in Section 2(c) of this Agreement with respect to the netting of the parties respective obligations under this Agreement. Specifically, the provision for set-off in the first sentence of the preamble to Section 6(e) of this Agreement shall not apply for purposes of any Transaction hereunder.
