Waiver of Right of First Offer. Each Member hereby irrevocably and unconditionally waives any right it may have (whether pursuant to the LLC Agreement, any other Contract or otherwise) to purchase or otherwise acquire any Interests not owned by such Member as contemplated by this Agreement, and further waives any obligation of the other Members to deliver any notice to such Member in connection with sale of the Interests contemplated hereunder.
