Common use of Waiver of Right of First Offer Clause in Contracts

Waiver of Right of First Offer. The Major Investors (as defined in the Prior Rights Agreement), hereby waive the right of first offer provided in Section 3.3 of the Prior Rights Agreement, including the notice requirements, set forth in the Prior Rights Agreement with respect to any and all securities to be purchased pursuant to the Purchase Agreement.

Waiver of Right of First Offer. The Each Major Investors (as defined in the Prior Rights Agreement)Investor, on behalf of itself and all other Major Investors, hereby waive waives the right of first offer provided contained in Section 3.3 2.3 of the Prior Rights Agreement, including all notice provisions contained therein, with respect to the transactions contemplated by the Purchase Agreement, including the notice requirements, set forth in sale of the Prior Rights Agreement with respect to any and all securities to be purchased Series C Preferred Stock pursuant to the Purchase Agreementterms thereof.

Waiver of Right of First Offer. The Existing Investors that are Major Investors (as defined in pursuant to the terms of the Prior Rights Agreement), Agreement hereby waive the right of first offer provided in Section 3.3 3 of the Prior Rights Agreement, including the notice requirements, requirements set forth in the Prior Rights Agreement Agreement, with respect to any and all securities to be purchased pursuant to the Purchase Agreementissuance of Series I Preferred Stock.
