Common use of Waiver of Bulk Sales Laws Clause in Contracts

Waiver of Bulk Sales Laws. Purchaser and Seller hereby waive compliance with the Bulk Sales Laws, and Seller agrees to indemnify and hold harmless Purchaser and its Affiliates from and against any claims arising out of or due to the failure to comply with such Bulk Sales Laws.

Waiver of Bulk Sales Laws. Purchaser and Seller hereby waive compliance with the any applicable Bulk Sales Laws, and Seller agrees to indemnify and hold harmless Purchaser and its Affiliates from and against any claims arising out of or due to the failure to comply with any such Bulk Sales Laws.

Waiver of Bulk Sales Laws. Without limitation of the provisions of Section 6.1, Purchaser and Seller hereby waive waives compliance by Sellers with the Bulk Sales Laws, and Seller agrees to indemnify and hold harmless Purchaser and its Affiliates from and against any claims arising out of applicable bulk sales or due to the failure to comply with such Bulk Sales Lawsbulk transfer laws.
