VSE. Provide on-site orientation at VS E Provide instruction for 1 course taught by VS E faculty member per group. Provide classroom for both U T and VS E classes Provide UT-Austin students internet access on campus and access to computer labs, printing and copy machines Arrange company and cultural site visits (to include transportation and accommodation where applicable)

VSE. Tenant may use the Premises only for the Permitted use and shall comply with all Laws relating to the use, condition, and occupancy of the Premises. The Premises shall not be used for any use which is disreputable or creates extraordinary fire hazards or results in an increased rate of insurance on the Building or its contents or the storage of any hazardous materials or substances. If, because of a Tenant Party's acts, the rate of insurance on the Building or its contents increases, Tenant shall pay to Landlord the amount of such increase on demand, and acceptance of such payment shall not constitute a waiver of any of Landlord's other rights. Tenant shall conduct its business and control each Other Tenant Party, so as not to create any nuisance or interfere with other tenants or Landlord in its management and use of the Building. Subject to Landlord's reasonable security measures and the Rules and Regulations described in Section 12. Tenant and its agents and employees will have access to the Premises 24 hours a day, 7 days a week.

VSE. The Company shall take any action required to delist --- from the VSE if consent to the transactions contemplated by this Securities Purchase Agreement is not obtained by March 3, 1998.
