Voluntary Termination or Termination for Cause. If, other than as specified below, the Employee voluntarily terminates employment with the Company or the Employee’s employment is terminated for Cause by the Company prior to the last day of a Restriction Period, then the Employee has not earned, and shall forfeit, all nonvested Restricted Stock. For purposes of this Restricted Stock Agreement, “Cause” shall mean:
