(i) The entry against Holdings, the Borrower Borrowers or any of its their Restricted Subsidiaries (other than any Immaterial Subsidiary) of an order for relief, the commencement by Holdings, the Borrower Borrowers or any of its their Restricted Subsidiaries (other than any Immaterial Subsidiary) of a voluntary case or proceeding under any Debtor Relief Law, or the consent by Holdings, the Borrower Borrowers or any of its their Restricted Subsidiaries (other than any Immaterial Subsidiary) to the entry of an order for relief in an involuntary case or proceeding or to the conversion of an involuntary case or proceeding to a voluntary case or proceedingcase, under any Debtor Relief Law, or the -155- consent by the Borrower Borrowers or any of its their Restricted Subsidiaries (other than any Immaterial Subsidiary) to the appointment of or taking possession by a receiver, receiver and manager, insolvency receiver, liquidator, sequestrator, trustee, administrator, custodian trustee or other like official for or in respect of itself or custodian for all or a material substantial part of its property; property; (ii) the making by Holdings, the Borrower Borrowers or any of its their Restricted Subsidiaries (other than any Immaterial Subsidiary) of a general assignment for the benefit of creditors; creditors; or (iii) the admission in writing by any Responsible Officer of Holdings, the Borrower of the inability of the Borrower Borrowers or any of its their Restricted Subsidiaries (other than any Immaterial Subsidiary) in writing of their inability to pay their respective debts as such debts become due; due; or
